Terms of Service

Draft prepared 20 August 2026 — not yet in force.

This is a draft, not published terms.

It was written from how the SpeakAppi platform actually works, but it has not been reviewed by a solicitor and some company details are still to be confirmed. It contains a self-billing clause that tutor payouts depend on, which needs legal review before the withdrawal feature goes live. Do not rely on it.

These terms govern your use of SpeakAppi. They apply to everyone: students booking classes, tutors teaching them, and visitors browsing the site. Please read the sections on our role, on fees, and on cancellations especially carefully, because they are the ones people are most often surprised by elsewhere.

1Agreement to these terms

By creating an account or using SpeakAppi you agree to these terms. If you do not agree with them, please do not use the service.

SpeakAppi is operated by Speak Technologies Ltd, a private limited company registered in England and Wales under company number 16039550. "We", "us" and "SpeakAppi" mean that company. "You" means the person using the service.

2Our role: we are an agent, not the teacher

SpeakAppi is a marketplace. Classes are provided by independent tutors, not by us. The teaching contract is between the student and the tutor. We are not the tutor's employer and we do not supervise, direct or guarantee the teaching itself.

We act as an authorised commercial collection agent on behalf of tutors. When you pay for a class, we collect that money on your tutor's behalf, retain our commission, and hold the rest for them until they withdraw it.

This matters to what you receive. A student's booking confirmation is a receipt for a payment we collected as agent — it is not a VAT invoice from us for teaching services, because we did not provide the teaching.

3Your account

You need an account to book or teach. You are responsible for what happens under it, and for keeping your password to yourself.

You must give us accurate information and keep it current. We may suspend or close an account that has been given false information, particularly where identity is concerned.

  • You must be old enough to enter a contract in your country, or have a parent or guardian manage the account for you.
  • A guardian-managed account is the guardian's account. They are responsible for it and for the classes booked through it.
  • One person, one account. Do not share an account or let someone else use yours.
  • Tell us promptly if you think someone else has access to your account.

4What students pay

Tutors set their own hourly rates, so there is no single price for a class. What we charge on top of the tutor's price is fixed and published.

All prices are in US dollars. Everything below is shown to you before you pay.

  • The class price, set by your tutor.
  • A processing fee that covers card processing, including international cards and currency conversion: 5.25% of the total you pay plus $0.30, worked out on the total (the fee included) and rounded up to the cent. Where processing a payment costs us less, we keep the difference. The fee is added to the price rather than taken out of it, so none of it comes from your tutor's share.
  • The price you agree with a tutor is locked in for your classes with them. A tutor changing their public rate does not change what you already pay.
  • Trial classes are 30 minutes. Trial credit can only be used for a trial with that tutor; it cannot be spent on a regular class.

5Class packages and expiry

Hours bought as a package expire six months after purchase. Unused hours are forfeited at that point and cannot be reinstated or refunded.

When hours expire, the tutor is paid for them at the rate set out in the Commission section. We say this plainly because it is the term most likely to cost you money if you overlook it: buy the number of hours you can realistically use within six months.

6Cancellations

Each tutor sets a cancellation window of either 12 or 24 hours. It is shown on the tutor's profile and before you book.

If you cancel a class your tutor has accepted at least that long before it starts, its hours go back to your balance. If you cancel later than that, the hours are used and the tutor is paid for the class, exactly as if it had taken place. If your tutor cancels, has asked to move the class and you cancel instead, or you withdraw a request your tutor has not yet accepted, the hours always come back in full.

A class that has already started cannot be called off or converted back into credit, except after our review of a problem you report (below).

7Problems with a class

If something goes wrong with a class, report it from the class within 48 hours of its end. We hold the tutor's payment while we review it, and either pay the tutor or return your hours. After 48 hours the class has been paid and can no longer be held.

8Teaching on SpeakAppi

Tutors are independent. You decide your rates, your availability, who you accept, and how you teach. Nothing in these terms creates employment, partnership or agency in the other direction.

As an independent provider you are responsible for your own tax and any registrations required where you live. We report our commission as our turnover; your share is yours to declare.

  • You must have the right to work as a self-employed tutor where you live.
  • Your profile must be accurate. Do not claim qualifications, experience or native fluency you do not have.
  • You must complete identity verification before you can be listed or paid.
  • Turn up to the classes you accept, on time, and tell students as early as you can if you cannot.
  • Keep arrangements with students on the platform, so that both of you have a record if something goes wrong.

9Commission

We retain 18% of a regular class, so you keep 82%. Trial classes, and package hours that expire unused, are charged at 25%, so you keep 75%.

The 18% rate is fixed. It does not rise with your earnings, your tenure or your student count. We may lower an individual tutor's rate — for example under a referral arrangement — but we will not raise it above the published rate for work you have already agreed to do.

10Getting paid

Your share of a class is credited to your withdrawable balance when the class is completed: either when the student confirms it, or automatically 48 hours after it was due to end. If the student reports a problem before then, the payment is held until our team has reviewed it, and it is paid, or the student's hours are returned, according to that review.

You can request a withdrawal once your balance reaches $50. Payouts are sent via PayPal or Payoneer. The payment provider's fee is deducted from the amount you withdraw, so what arrives is your gross request minus that fee.

Withdrawals are processed by our team rather than instantly. We will tell you if a payout cannot be completed, for example because the details you gave do not match your verified identity.

11Self-billing

By requesting a withdrawal you agree to a self-billing arrangement: we raise the invoice for your teaching services on your behalf, rather than you sending one to us. A self-billing document is generated for each payout, showing the gross amount requested, the payment provider's fee, and the net amount sent.

You agree to accept those self-billed documents as the record of the sums due to you, to notify us if your tax status or details change, and not to raise your own invoices for the same amounts.

Either of us may end this arrangement by giving notice, in which case we will agree another way of documenting payments before further withdrawals are made.

12Verification and listing

Before a tutor is publicly listed, two separate checks must both pass: a review of the profile by our team, and an identity check against a submitted document. We may decline or reverse either, and we will give a reason where we do.

Verification confirms identity and reviews profile quality. It is not an assessment of teaching ability, and it is not a certification of qualifications — those are declared by tutors themselves and shown on their profiles as their own claims.

13Acceptable use

Whichever side of the marketplace you are on, do not:

  • Harass, abuse, discriminate against or threaten anyone.
  • Misrepresent who you are, or use someone else's identity or documents.
  • Attempt to take payment outside the platform for classes arranged through it. It removes both parties' protection and is grounds for closing an account.
  • Post false reviews, or pressure anyone to leave one.
  • Use the service for anything unlawful, or share material you have no right to share.
  • Attempt to break, probe or overload the platform, or access data that is not yours.

14Content you provide

You keep ownership of your profile text, photographs, messages and teaching materials. You give us the permission we need to display and distribute them for the purpose of running the service — for example, showing a tutor's profile publicly so students can find them.

We may remove content that breaches these terms, is unlawful, or misrepresents the service. We will tell you when we do.

15Availability of the service

We aim to keep SpeakAppi available, but we do not promise uninterrupted service. We may need to suspend it for maintenance, and features may change as the platform develops.

We are not responsible for a class missed because of a failure on your side or your tutor's — connection problems, hardware, or a third-party video service.

16Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. If you are a consumer, your statutory rights are unaffected.

Because classes are provided by independent tutors, we are not liable for the quality, content or outcome of the teaching itself. Our responsibility is to operate the marketplace and to handle money correctly.

Subject to the above, our total liability to you for any claim is limited to the amount you paid through SpeakAppi in the twelve months before the claim arose.

17Ending your use of SpeakAppi

You may stop using the service at any time. Tutors should withdraw any remaining balance and see out classes already booked before doing so.

We may suspend or close an account that breaches these terms, that we reasonably believe is fraudulent, or where we are required to by law. Where we can, we will tell you why and give you an opportunity to respond.

Ending an account does not cancel obligations already incurred: classes paid for, balances owed, and financial records we are required to keep all survive it.

18Changes to these terms

We may update these terms as the platform develops. If a change is material we will tell account holders by email and update the date at the top of this page.

Changes are not retrospective. Classes already booked and payments already made are governed by the terms in force when they happened.

19Governing law

These terms are governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales.

If you are a consumer resident elsewhere, this does not deprive you of the protection of any mandatory consumer law of the country you live in.
